RAILMARKETPLACE.COM SELECTS CLARUS

– Clarus to Provide Software to the World's Largest Rail Electronic Procurement Site –

ATLANTA May 21, 2001 – Clarus Corporation (NASDAQ: CLRS), a leading business-to-business (B2B) e-commerce software solution provider, announced today it will provide e-based sourcing, procurement and payment settlement solutions to four of the six founders of RailMarketplace.com, the world's largest rail industry electronic exchange.

RailMarketplace.com was founded by Burlington Northern Santa Fe (BNSF), Canadian National (CN), Canadian Pacific Railway (CPR), CSX, Norfolk Southern (NS), and Union Pacific (UP) to create efficiencies associated with sourcing and procuring goods and services by doing business online. Collectively, they procure more than $15 billion a year in goods and services. Of the six, BNSF, CPR, NS and UP will use the Clarus software to provide the automation and integration needed to run their electronic procurement process and help generate procurement cost savings. CN and CSX will continue to use their existing software. Others in the rail industry, including regional, shortline and commuter railroads, can participate in the open procurement environment being created by RailMarketplace.

The initial objective of RailMarketplace.com is to bring buyers and suppliers from across North America online. Its longer-term goal is to extend the value of RailMarketplace.com to the worldwide rail industry. Clarus has proven success with the rail industry, having assisted Burlington Northern Santa Fe (BNSF) with its internal procurement initiatives last year.

"Clarus is able to deliver some unique capabilities in the areas of auctions and online payment settlement that will bring significant added value to the trading partners," said Mark Davis, interim CEO for RailMarketplace.com. "Clarus demonstrated an incredible sense of collaboration during our selection process. This attribute makes Clarus the type of partner that will be critical to the integration of our marketplace."

The comprehensive Clarus software suite offers RailMarketplace.com members:

Clarus AuctionsTM features competitive bidding, dynamic pricing, auctioning and wireless capabilities;

Clarus eProcurementTM, an on-ramp to the marketplace, managing global procurement/requisitioning, and featuring user-driven business controls and automated workflow for routing and approvals;

Clarus SettlementTM for settling global payment, integrating financial institutions, managing marketplace revenue, netting payment and reconciliation.

"We are extremely excited about the opportunity to work with the leaders in the rail transportation industry as they evolve procurement practices that reduce their costs and bring value to their shareholders," said Steve Jeffery, CEO and president of Clarus. "Our track record with BNSF shows that Clarus can deliver results by streamlining the procurement process and enabling rapid deployment."
